10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KIVANA LABS CORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

We shall not be liable for any damages arising from:

  • Use or inability to use the Service
  • Unauthorized access to or alteration of your data
  • Statements or conduct of any third party on the Service
  • AI-generated content or recommendations
  • Data loss or corruption

11. Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Force majeure events

12. Termination

Either party may terminate this agreement with written notice. Upon termination:

  • You remain liable for any unpaid fees
  • Surviving provisions will remain in effect

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through the following process:

  2. Mediation: If informal resolution fails, parties agree to participate in good faith mediation
  3. Arbitration: Any remaining disputes shall be resolved by binding arbitration in Delaware
  4. Class Action Waiver: You agree to resolve disputes individually, not as part of a class action

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service.
